Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between Tech Extranet LLC, an Ohio limited liability company ("the Company", "we", "us"), and the business that signs up for MSPDock ("you", "the customer"). They also serve as MSPDock's end-user license agreement. By creating an account or using MSPDock ("the Service"), you agree to these Terms. If you accept them for a business, you confirm you are authorized to do so. If you do not agree, do not use the Service.

2. The Service and your license

MSPDock is software as a service for managed service providers and similar businesses: client reporting and quarterly reviews, quotes, contracts, billing and invoicing, agreements and e-signatures, a client portal, HR (employee records, time off, hiring, onboarding, timesheets and scheduling), integrations with other business tools, and AI-assisted features. While your subscription is active, we grant you a non-exclusive, non-transferable right for your authorized users to use the Service for your internal business purposes, under these Terms.

3. Accounts

You must give accurate information, keep sign-in credentials confidential, and make sure your users follow these Terms. You are responsible for activity under your account and for the access you give your users, clients and employees. Tell us promptly at legal@mspdock.com if you suspect unauthorized access.

4. Acceptable use

You agree not to:

• Use the Service for anything unlawful, deceptive or harmful, or to send spam
• Upload content that infringes others' rights, or malicious files or code
• Reverse engineer, decompile or copy the Service, or try to get around its security or usage limits
• Access the Service with automated tools other than the features and APIs we provide
• Resell or give third parties access to the Service without our written permission

5. Your data

You own the data you put into or connect to MSPDock ("Customer Data"). You give us permission to host, process and transmit Customer Data only as needed to provide, secure and support the Service, as described in our Privacy Policy. We do not sell Customer Data or use it for advertising. You are responsible for having the rights and permissions to put Customer Data into MSPDock, including any notices or consents your clients, employees and applicants need, and for the accuracy of what you enter.

6. Connected services

The Service can connect to third-party products you use, such as QuickBooks Online, PSA and documentation tools, Pax8, Microsoft 365 and Stripe. By connecting one, you authorize MSPDock to access and exchange data with it on your behalf for the features you turn on. Your use of those products is governed by their own terms, and we are not responsible for their availability, accuracy or changes to their services. You can disconnect them at any time.

QuickBooks and Intuit are trademarks of Intuit Inc.; Microsoft 365 and Outlook are trademarks of Microsoft Corporation; other product names are trademarks of their owners. MSPDock is not affiliated with or endorsed by them.

7. HR, payroll and employment

MSPDock's HR features are tools to help you manage your workforce. You remain the employer and are responsible for complying with employment, wage and hour, tax, immigration and privacy laws, including completing and keeping Form I-9 and Form W-4, paying wages and overtime correctly, and filing taxes. MSPDock is not a payroll provider, employer of record or professional employer organization, and nothing in the Service is legal, tax or accounting advice. Check hours, overtime and time-off calculations before you rely on them for pay.

8. Payments you take through MSPDock

If you accept online payments of your invoices, payments are processed by Stripe under Stripe's terms, through a Stripe account you connect. You are the seller to your clients and are responsible for your invoices, refunds, disputes and taxes on those transactions.

9. Subscriptions and payment

• Subscriptions are billed monthly or annually, depending on the plan selected
• Upgrades take effect immediately with prorated billing
• Downgrades and cancellations take effect at the end of the current billing period
• Prices may change with 30 days' notice
• Fees are exclusive of taxes, which you are responsible for where they apply

10. Refunds

All subscription purchases are eligible for a full refund within 14 days, no questions asked. This also applies to processing errors and duplicate charges. Email billing@mspdock.com to request a refund. Refunds are processed within 5–10 business days.

11. Free trial

New accounts receive a 14-day free trial with full access to the Service. No credit card is required. We may change free trial terms at any time.

12. AI-generated content

Some features use AI (Anthropic's Claude models) to draft summaries, recommendations and classifications. AI output is a starting point: review it before you rely on it or share it. We do not guarantee that AI output is accurate or complete.

13. E-signatures

MSPDock records electronic signatures on quotes, agreements, offers and forms with the signer's name, time, IP address, browser details and a document fingerprint. You are responsible for making sure electronic signatures are appropriate for your documents and meet the requirements where you and your signers are.

14. Availability and changes

We work to keep the Service available but do not guarantee uninterrupted access; it may be unavailable for maintenance or reasons beyond our control. We may change or improve features. If we remove a feature you depend on in a material way, we will tell you in advance where reasonably possible. Service level commitments, if any, are only those in a separate written agreement.

15. Confidentiality and security

We protect Customer Data as described in our Privacy Policy and use it only to provide the Service. You keep non-public information about the Service (such as non-public features and pricing) confidential.

16. Disclaimer

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

17. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data, and the Company's total liability for all claims relating to the Service is limited to the amounts you paid for the Service in the 12 months before the claim. These limits do not apply to your payment obligations or to liability that cannot be limited by law.

18. Indemnity

You will defend and indemnify the Company against third-party claims arising from Customer Data, your use of the Service in breach of these Terms or the law, or your dealings with your clients and employees.

19. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate accounts that violate these Terms or put the Service or others at risk. After termination you may request an export of your data within 30 days; after that we delete it as described in our Privacy Policy. Prepaid fees are forfeited on termination for cause. Sections that by their nature should survive (such as data ownership, disclaimers, limitation of liability, indemnity and governing law) survive termination.

20. Changes to these Terms

We may update these Terms. We will post changes here and update the date at the top, and tell account owners about material changes by email or in the Service before they take effect. Continuing to use the Service after that means you accept the updated Terms.

21. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Ohio, and both parties consent to their jurisdiction.

22. General

These Terms and the Privacy Policy are the entire agreement about the Service unless you have a separate signed agreement with us, which controls where it conflicts. If any part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Failure to enforce a provision is not a waiver.
